In 30 seconds

Phoenix is software for management and authorized execution. It is not an exchange, bank or custodian of funds. You retain ownership and control of your account, device and credentials. Execution is limited to what you authorize; risks arising from banks, Binance and other third parties are yours.

01

Software, not a bank

02

Registration and free trial

Create your account, verify your email and configure access. The trial requires no card and does not generate automatic charges.

03

Authorized orders

You configure rules and limits. Phoenix executes within them and may refrain if it cannot verify them.

04

Credentials

They are configured on your device and remain in your custody. Do not send them through this website, by email or through support.

05

Banks and platforms

Binance and banks have their own terms. Their decisions, restrictions and changes are outside Phoenix's control.

These terms do not replace the specific agreement, commercial proposal or specific conditions that Phoenix provides before activating an account. In the event of conflict, the specific document signed or accepted for that account takes precedence.

Acceptance and capacity

By using this website, creating an account or using the Service, you declare that you have read these terms and the privacy notice. If you do not agree, you must not use the website or Service.

You must be an adult with legal capacity to enter into agreements and, if acting for a company, have sufficient authority to bind it. The Service is intended for merchants and professionals, not consumers using it for personal purposes unrelated to business activity.

Acceptance may be given electronically. We will retain the accepted version, its date and records associated with the authorization.

Nature of the service

Phoenix is software for management and authorized execution. It helps organize ads and competition, collect orders, manage the queue, execute supported bank payments and retain evidence of what occurred.

Phoenix is not an exchange, bank, currency exchange business, financial intermediary or custodian of funds. It does not accept funds from the public, hold or receive the Merchant's money, or manage it. Funds remain in the Merchant's bank account, whose ownership and relationship with the Bank belong exclusively to the Merchant.

Execution takes place on the Merchant's Device or in an environment they authorize, using the Credentials they configure. Phoenix does not operate the infrastructure used to access the bank account or replace the relationship between the Merchant and their Bank.

The Service does not guarantee profitability, volume, bank or platform availability, acceptance of a transaction or any particular business result. Automation does not replace the Merchant's supervision, reconciliation or judgment.

Registration, account and plans

Registration creates an account pending email verification and security setup. It requires no manual commercial assessment. The Phoenix Pro trial includes 7 days, up to 100 confirmed payments, 5 bots and 1 execution device; it begins when setup verified by Phoenix is complete. The trial is for eligible accounts that have not used it before. It does not renew or generate charges automatically.

You must provide accurate, complete and up-to-date information, use an email account you control and complete the relevant verifications with Binance, your Bank or when configuring your account. Registration does not replace your verifications or obligations toward third parties.

The account belongs to the individual or company holding it. You must not share or transfer access or use it to operate third-party accounts without sufficient authorization. You must keep your access methods secure and report any compromise.

The plan, included features, limits and price are shown before purchase or defined in the specific agreement. Phoenix may change the availability of features, integrations or countries; “Coming soon” does not constitute a date or commitment to release.

Merchant obligations

The Merchant declares and undertakes the following. Noncompliance entitles Phoenix to suspend or restrict the Service, without prejudice to other applicable actions.

  • Ownership and authorization. Own or have sufficient authorization over the Bank Account and Binance accounts connected. Do not use the Service to operate third-party accounts without a legitimate basis.
  • Custody. Keep the Device, phone line, authentication factors and Credentials under your control, up to date and protected.
  • Limits. Define Authorizations and their Limits diligently. Their content and financial consequences are the Merchant's decision.
  • Review. Review payments and Results at reasonable intervals, reconcile transactions and report any discrepancy within the period indicated in the application or agreement.
  • Funds and costs. Maintain sufficient funds and bear transaction fees, taxes and banking costs.
  • Compliance. Comply with applicable law, Binance's terms, the Bank's terms and those of every connected platform, including anti-money laundering and counter-terrorist financing obligations.
  • Counterparties. Verify that counterparty data entered or obtained from transactions is accurate, lawful and supported by a basis for processing.
  • Notifications. Promptly report changes in ownership, restrictions, loss of access, compromised Credentials or any circumstance affecting execution.

Acceptable use and intellectual property

You may use the Service only to manage your own business operation and for the contracted purposes. You must comply with applicable law, Binance's terms, your Bank's terms and those of any connected platform.

Using the Service for unlawful activities, fraud, money laundering, terrorist financing, price manipulation, transactions involving illicit funds, impersonation, harassment or infringement of third-party rights is prohibited. Attempting to access unauthorized areas, interfering with security, extracting data in bulk, reselling access or sharing Credentials with third parties is also prohibited.

Compliance. The Merchant declares that funds entering and leaving their account are of lawful origin, that they will not use the Service to influence or manipulate currency or cryptoasset quotations, that they will not set or publish reference rates, and that they will meet their foreign exchange, tax and regulatory obligations. Phoenix may suspend the Service upon a breach, reasonable suspicion of unlawful use, a request from a competent authority or a risk to the platform, without prejudice to other applicable actions.

Phoenix's visual identity, text, software, interface and proprietary materials are protected by law. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these terms. You may not copy, modify, distribute, sell or create derivative products presented as Phoenix without written authorization.

Mandate, orders and limits

Mandate. The Merchant authorizes Phoenix to execute, on their behalf and instructions, Orders covered by valid Authorizations registered in the application. The mandate is granted and limited through those Authorizations, not through this text. Phoenix receives no general mandate to dispose of the Merchant's funds or operate outside authorized Limits.

Limits. Every Authorization must contain explicit Limits. Depending on the feature available, these may include a maximum amount per Order, maximum cumulative amount, validity window, permitted recipients or matching criteria, currency, account, channel and payment rail. The Merchant must review the Limits before confirming and must not create Authorizations without verifiable limits.

Effect. Every Order that complies with a valid Authorization is considered instructed by the Merchant and has the same effect as if they had submitted it personally. When automatic execution is enabled, Orders meeting the rules may execute without individual confirmation for each payment.

Fail-closed. Phoenix will not execute an Order outside a valid Authorization. If it cannot verify the Limits, the identity of the transaction or channel availability, it will refrain from executing and notify the Merchant of the incident.

Revocation. An Authorization may be revoked at any time, without giving a reason, with effect on Orders not yet executed. Orders already executed are irreversible because they are transactions submitted to the Bank or platform.

Review and evidence. The Merchant must periodically review transactions, reconcile Results and report discrepancies within the reasonable period indicated in the application or agreement. Phoenix retains the records described in the records and evidence section.

Credentials and security

Bank and Binance Credentials are configured on the Merchant's Device and remain in their custody. Phoenix does not request them on this public website, by email or through support channels. Never send passwords, API keys, Authenticator codes or one-time codes by those means.

The Merchant must use minimum permissions, review enabled access, avoid enabling unnecessary withdrawals and keep the Device updated. They must also protect the phone line, one-time messages and every authentication factor.

If you suspect compromise, loss, theft or unauthorized access, you must immediately notify Phoenix and your Bank, revoke Authorizations and change Credentials. Phoenix is not liable for transactions submitted before receiving valid notification.

Phoenix applies reasonable technical and organizational measures to protect information and limit access, but no system is invulnerable. The Merchant is also responsible for the security of their Device, network, software and environment.

Banks, Binance and third parties

Phoenix is independent software. It is not an official application of Binance or the banks mentioned, does not represent them and is not part of the relationship between the Merchant and those entities. Trademarks and logos belong to their owners and are shown to identify compatibility.

Binance's terms, the Bank's terms and those of each platform govern access, limits, channels, fees and transactions. These terms may change and may restrict or prohibit certain uses, including automation or sharing Credentials. The Merchant must review and comply with them.

Phoenix does not control decisions by the Bank, Binance or other platforms concerning access, limits, compliance reviews or availability. It is also not liable for failures of internet, power, telephone services, devices or third-party services.

Merchant risks

Read carefully

Operating online banking with credentials and automation may breach your Bank's terms. Such terms commonly establish that passwords are personal and non-transferable, that their safekeeping is your responsibility and that transactions submitted using them are considered performed by you. The Bank may block access, suspend the channel or close the account, and you could lose fraud protection or face compliance reviews. Phoenix cannot eliminate these risks.

On Binance and other platforms, API access or automation is subject to their own terms, permissions and limits. Review whether your use is permitted before connecting an account.

The Merchant acknowledges these risks, undertakes to review each platform's terms and accepts the consequences of operating with their Credentials. They must consult their legal, tax or financial adviser where appropriate.

  • Account suspension or closure. The Bank may block access, suspend the channel or terminate the relationship without prior notice if it detects irregular behavior or a suspicious transaction.
  • Compliance review. A profile with high transaction frequency and multiple counterparties may trigger anti-money laundering reviews, transaction holds or reports to authorities.
  • Loss of protection. If bank terms deem every transaction submitted with your passwords to originate from you, you could lose the ability to dispute it with the Bank.
  • Limits and channels. Each Bank sets amounts, hours and restrictions by channel and payment rail. Some services may be reserved for certain types of person or account; verify your case before enabling them.
  • Legal and regulatory risk. Applicable law may penalize access to or use of systems without authorization or beyond the authorization granted. Your authorization covers your account, not the Bank's system.

The Merchant also bears risks related to the content of Authorizations, counterparty data, compliance with foreign exchange, tax and regulatory obligations, and the accuracy of information provided. If your Bank offers an authorized third-party access method, consider that alternative before sharing credentials.

Records and evidence

Phoenix retains records of acceptance of these terms, Authorizations and their Limits, and related executions or incidents. Where the application permits, the Merchant may view and export current and historical Authorizations and linked executions.

Records may be used as evidence of what was authorized and executed, without prejudice to other forms of evidence. Electronic acceptance of these terms has the effect recognized by applicable law; a registered Authorization cannot be disputed solely because it lacks a handwritten signature.

Records are retained throughout the relationship and for the applicable subsequent legal period. Deletion of Credentials and operational data is governed by the customer agreement and application instructions.

Pricing and liability

Prices are stated in USD and shown before purchase or set in the specific agreement. If payment is made in USDT, the exact currency and amount are shown before confirmation. Taxes, network fees, banking costs and other applicable charges are borne by the Merchant unless otherwise agreed. Non-payment may lead to suspension of the Service.

Phoenix is responsible for executing Orders covered by a valid Authorization and retaining records of what was authorized and executed. It is not liable for decisions by the Bank or Binance, the content of Authorizations, incorrect Merchant or counterparty data, a compromised Device, third-party failures or the business, tax or regulatory consequences of transactions.

To the extent permitted by law, Phoenix's total liability for claims related to the Service is limited to the amount actually paid by the Merchant for the Service during the three months before the event giving rise to the claim. This limitation does not apply in cases of willful misconduct or gross negligence.

The Merchant will indemnify Phoenix against third-party claims arising from their use of the Service, Authorizations, information provided or breach of these terms.

Permitted use and prohibited content

Phoenix P2P is intended to manage authorized P2P operations. The order assistant uses AI for conversation and context; it is not an image generator. Documents, selfies and receipts must only be supplied on a legitimate basis and to verify the relevant order. They are not published as public website content.

Using Phoenix to create, generate, edit, request or distribute intimate or sexual imagery, including AI-generated non-consensual intimate imagery (AI NCII), is prohibited. Harassment, impersonation and unauthorized disclosure of private evidence are also prohibited.

A violation may result in suspension or termination under these terms. To report misuse, email soporte@phoenix7ai.com.

Termination

The Merchant may stop using the Service and revoke Authorizations at any time. Phoenix may suspend or terminate access upon breaches, non-payment, reasonable suspicion of unlawful use, a request from a competent authority or a risk to the platform or third parties.

Upon termination, valid Authorizations are revoked and access is disabled. Credentials configured on the Device must be deleted according to application instructions and the applicable retention policy. Orders already executed are not reversed by termination.

Payment, confidentiality, intellectual property, liability, indemnity, evidence retention and other obligations that by their nature should continue survive termination.

Data and privacy

Processing of data submitted through this website and registration is described in the privacy notice. The private application may process operational data needed to execute and document orders; such processing is governed by the customer agreement and application controls. Phoenix does not sell personal data or disclose it for advertising.

The Merchant must have a legitimate basis for processing counterparty data entered or obtained from transactions and keep it up to date. Phoenix may retain technical and execution records to operate, diagnose incidents, prevent abuse and comply with legal obligations.

Changes and versioning

Phoenix may update these terms when the Service, law or integrations change. It will publish the current version with its date and, where appropriate, notify the Merchant through available channels.

Material changes require new express acceptance where required by law or contract. Until you provide it, the accepted version continues to govern. Each Authorization is governed by the version of the terms in force when granted, unless an update is required by law.

Applicable law and contact

Unless the specific agreement provides otherwise, these terms are governed by the laws of the Bolivarian Republic of Venezuela. The parties submit to the competent courts of Venezuela, without prejudice to mandatory rules applicable to the Merchant.

If the Merchant operates from another country, the specific agreement may include local annexes or conditions. In all cases, mandatory rules of their jurisdiction and those governing their relationship with the Bank or connected platform will be respected.

If any provision is unenforceable, the others remain effective to the extent permitted by law. Failure to exercise a right does not constitute waiver. You may not assign the agreement without Phoenix's authorization; Phoenix may assign it to an entity within the same group or a successor to the Service.

For enquiries about these terms, email soporte@phoenix7ai.com. For legal or privacy matters, use the same channel and indicate the relevant subject.
